At NDS Advisors, secretarial work isn't box-ticking — it's how we keep clients genuinely governed and compliant. We're looking for a qualified Company Secretary who pairs precise drafting with sound judgement and can run corporate-secretarial and ROC compliance across a varied client base.
The role.
You'll manage corporate-secretarial and ROC compliance end-to-end for your own portfolio — from board processes and statutory records to incorporations and FEMA filings — supported by a documented process and a senior team that mentors as it delegates.
Key responsibilities.
- ROC / MCA compliance — annual filings (AOC-4, MGT-7), incorporations and event-based forms (DIR-12, INC-22, PAS-3 and others) on the MCA V3 portal.
- Meetings & records — convene and minute Board, AGM and EGM proceedings — drafting notices, agendas and resolutions, and maintaining statutory registers.
- Secretarial standards — ensure compliance with the Companies Act 2013 and Secretarial Standards (SS-1 / SS-2), with up-to-date compliance calendars.
- Corporate actions — handle conversions, name changes, capital increases, share transfers, charge filings and strike-offs.
- FEMA & LLP — support FDI / ODI filings with RBI (FC-GPR, FC-TRS, FLA) and LLP compliances and agreement changes.
- Governance advisory — advise clients on corporate governance, DIN / DSC management and regulatory changes.
- Authority liaison — liaise with ROC, RD and other authorities; manage approvals and representations.
- Client ownership — run compliance for a portfolio of clients, advising proactively and building long-term relationships.
What you'll bring.
Essential
- Qualified Company Secretary and member of the ICSI (Associate or Fellow).
- 2–5 years of experience in a PCS firm, CA firm or corporate secretarial role.
- Working knowledge of the Companies Act 2013, LLP Act, FEMA and Secretarial Standards.
- Hands-on with MCA21 / V3 filings and DSC / DIN processes.
- Strong drafting — notices, minutes, resolutions and agreements.
- Sharp attention to detail and discipline with statutory deadlines.
- Clear communication and high standards of professional confidentiality.
Preferred
- Exposure to listed-company / SEBI LODR compliance.
- Experience with secretarial audit or NCLT matters.
- Familiarity with corporate restructuring and due diligence.
- Sector experience across real estate, manufacturing or startups.
