Annual General Meeting your AGM, convened and minuted right.
Annual General Meeting services in Mumbai and across India — convening AGMs, drafting notice and explanatory statements, support for ordinary and special business, adoption of financial statements, director and auditor appointments, and compliant AGM minutes for private and public companies.
The Annual General Meeting is the cornerstone of a company's yearly compliance calendar. It is the forum where shareholders receive the audited accounts, the directors and auditors are appointed or re-appointed, dividend is declared, and members exercise their oversight of the company. Holding the AGM correctly and on time is a statutory obligation under Section 96 of the Companies Act for every company except a One Person Company.
The timing rules are precise. A company's first AGM must be held within nine months from the end of its first financial year. Every subsequent AGM must be held within six months from the end of the financial year, and the gap between two AGMs cannot exceed fifteen months. The meeting requires at least 21 clear days' notice in writing or electronic form, which can be shortened only with the consent of 95 per cent of members entitled to vote.
Our AGM practice handles the meeting comprehensively — preparing the notice, the explanatory statement under Section 102 and the director's report, distinguishing ordinary business from special business, framing resolutions for adoption of accounts, dividend, retirement and re-appointment of directors and auditor appointment, ensuring proper quorum and voting, and drafting minutes that satisfy the secretarial standards. We also coordinate the connected ROC filings. The result is an AGM that is convened lawfully, conducted smoothly and documented well enough to clear any audit or due diligence.
